Acceptance

This Source-Available Dual License Agreement (the "Agreement") is a legally binding agreement between edbnme ("edbnme" or "Licensor") and the individual or legal entity that accesses, downloads, installs, copies, modifies, compiles, distributes, or otherwise uses the Licensed Materials ("you" or "Licensee"). By doing any of those things, you accept this Agreement. If you accept it on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity. If you do not accept this Agreement, or do not have that authority, you must not access, download, install, copy, modify, compile, distribute, or use the Licensed Materials.

The canonical version of this Agreement is published at https://ui.edbn.me/license. A copy distributed with the Licensed Materials is provided for convenience; if the copies differ, the canonical version in effect when you obtained the relevant copy of the Licensed Materials controls.

1. Definitions

In this Agreement:

  • "Licensed Materials" means only the source files, registry items, code examples, and technical documentation that edbnme distributes as part of edbn/ui, or identifies as licensed under this Agreement, at the time you obtain them, including Free Items and Pro Items, and any copies, portions, and Derivative Works of them.
  • "Free Items" means Licensed Materials that edbnme makes available without a Pro Plan.
  • "Pro Items" means Licensed Materials that edbnme makes available only to holders of an Active Pro Plan, including the data tables, charts, PDF templates, blocks, and recipes designated as Pro, and their source.
  • "Pro Plan" means paid edbn/ui Pro access purchased through edbnme's authorized checkout: a "Pro Pass", which is one year of Pro bought with a one-time payment, or a monthly or yearly Pro subscription purchased before Pro Passes replaced subscriptions. "Active" means that the Pro Plan is paid and current (for a Pro Pass, that its year has not ended) and not suspended, cancelled, refunded, or charged back.
  • "Application" means a substantially complete software product, website, or service that provides its own independent functionality to end users and in which the Licensed Materials are incorporated as a component rather than as the primary value. A standalone library, component library, design system, UI kit, registry, template, theme, starter kit, boilerplate, code generator, marketplace listing, source archive, or similar reuse-focused offering is not an Application.
  • "Commercial Use" means any use that is directed toward commercial advantage, monetary compensation, or revenue, directly or indirectly, including use in a product or service that is sold, licensed, subscribed to, supported by advertising, or used to generate leads; use in work performed for a paying client; use in internal tools of a for-profit organization; and use by or for a for-profit organization in any capacity.
  • "Noncommercial Use" means use that is not Commercial Use, such as personal projects, education, academic research, and use by a registered nonprofit organization for its nonprofit mission.
  • "Derivative Work" means any modification, adaptation, translation, port, or other work based on or derived from the Licensed Materials, in whole or in part, including generated or rewritten code that is substantially similar to them.
  • "Authorized Users" means, where you are an organization, your employees and individual contractors who use the Licensed Materials solely on your behalf and for your projects.
  • "Third-Party Materials" means software, fonts, icons, images, and other material owned by third parties, including open-source dependencies and code incorporated under third-party licenses, as listed on the Attribution page or in notices distributed with the Licensed Materials.

2. Scope; Licensed, Not Sold

The Licensed Materials are licensed, not sold. This Agreement grants only the rights expressly stated in it. All rights not expressly granted are reserved by edbnme and its licensors, and no right is granted by implication, estoppel, exhaustion, or otherwise.

The Licensed Materials do not include, and this Agreement grants no rights in, the edbn/ui website application, its authentication, analytics, billing, registry service, infrastructure, tests, or deployment configuration; unpublished source; edbnme's names, trademarks, logos, or branding; or marketing copy, screenshots, recordings, or other editorial material, unless a separate written notice from edbnme expressly includes that material.

Third-Party Materials are not licensed by edbnme under this Agreement. They remain subject to their own license terms, which apply to them in addition to or instead of this Agreement as those terms require. Nothing in this Agreement restricts rights that a third-party license grants you in Third-Party Materials.

3. Free Noncommercial License

Subject to your continuing compliance with this Agreement, edbnme grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free, revocable license to use, reproduce, modify, and create Derivative Works of the Licensed Materials, and to distribute them as part of an Application, solely for Noncommercial Use.

You may publish the source of Licensed Materials only as part of the source repository of a complete Application that is not distributed primarily to make the Licensed Materials available for reuse. You may distribute compiled, minified, or bundled forms of the Licensed Materials only as part of that Application. Any distribution must preserve this Agreement's attribution requirement and all copyright, license, and third-party notices.

This license includes a single evaluation period of up to 30 consecutive days per person or organization to decide whether to purchase a Pro Plan. During evaluation you may test the Licensed Materials in non-production environments for a prospective Commercial Use, but you may not deploy them to production, use them to operate a revenue-generating product or service, or deliver them to a client.

For Noncommercial Use, you must include the following attribution in the documentation, credits, or about page of the Application, and keep it in any source file that contains a substantial portion of the Licensed Materials:

Built with edbn/ui
Copyright © 2024-2026 edbnme

4. Pro Commercial License

Subject to your continuing compliance with this Agreement and payment of all applicable fees, while you hold an Active Pro Plan, edbnme grants you a worldwide, non-exclusive, non-transferable, non-sublicensable (except as stated in Section 5), royalty-free license to use, reproduce, modify, compile, and create Derivative Works of the Licensed Materials, and to distribute them as part of an Application, for Commercial Use and Noncommercial Use. Commercial Use includes your own commercial Applications, Applications you build for clients, internal business systems, and hosted Applications.

For each copy of the Licensed Materials that you lawfully obtain while your Pro Plan is Active, together with Derivative Works you create from that copy, the license in this Section continues after the Pro Plan is cancelled or expires, provided that you continue to comply with this Agreement. Cancellation or expiry ends your access to Pro Items not yet obtained, to updates and new releases, and to registry tokens and other Pro benefits. It does not revoke rights in copies previously obtained under this Section.

The continuing license in the previous paragraph does not apply to copies obtained during a period for which payment was not made, was refunded, or was reversed through a chargeback or payment dispute, or obtained through a Pro Plan purchased with fraudulent or unauthorized payment information. Those copies are licensed only as Free Items (if available as such) or not at all.

5. Authorized Users, Contractors, and Clients

If the Pro Plan is held by an organization, its Authorized Users may exercise the Pro license on its behalf. If it is held by an individual, only that individual may exercise it, including when working for clients. You are responsible for all use by your Authorized Users and for their compliance with this Agreement.

You may provide source containing Licensed Materials to your Authorized Users, and to a client for whom you build an Application, solely as reasonably necessary to create, maintain, operate, or use that Application, and subject to written confidentiality and use restrictions at least as protective of the Licensed Materials as this Agreement. A client may maintain and modify the Licensed Materials delivered as part of its Application for use in that Application, but may not use them in any other product without its own license.

You may distribute an Application repository containing Licensed Materials, including as open source, only if the repository is a complete Application and is not distributed primarily as a reusable library, component set, design system, registry, template, or source archive. You must not apply a license to the Licensed Materials that purports to grant rights broader than this Agreement.

6. Restrictions

Except as expressly permitted by this Agreement, you must not, and must not allow or help anyone else to:

  1. sell, rent, lease, lend, sublicense, assign, transfer, or redistribute the Licensed Materials, in source or compiled form, on a standalone basis or as the primary value of any offering;
  2. create, publish, or distribute a component library, design system, UI kit, registry, template, theme, starter kit, boilerplate, code generator, marketplace listing, or other product that competes with edbn/ui or whose primary purpose is to make the Licensed Materials or Derivative Works available for reuse;
  3. mirror, scrape, cache for redistribution, or republish edbnme's registry, Pro Items, source archives, documentation, or distribution channels;
  4. share, publish, sell, or otherwise disclose registry tokens or Pro access to anyone who is not you or your Authorized User, or use a single Pro Plan to provide Pro Items to unrelated persons or organizations;
  5. bypass, disable, or circumvent any access control, paywall, token check, rate limit, or other technical measure of edbn/ui, or obtain Pro Items without an Active Pro Plan;
  6. use the Licensed Materials, or outputs derived from them, to train, fine-tune, or evaluate a machine learning model or code-generation system intended to reproduce or generate components, charts, tables, PDF templates, or similar materials, or include them in a dataset for that purpose;
  7. publish the Licensed Materials under another name or claim authorship of them, or remove, alter, or obscure any copyright, license, attribution, or third-party notice;
  8. use edbnme's or edbn/ui's names, trademarks, logos, or branding, or any confusingly similar mark, to imply sponsorship, affiliation, endorsement, or origin;
  9. use the Licensed Materials in violation of any law or regulation, including export control and sanctions laws, or in a way that infringes or misappropriates the rights of any third party; or
  10. use the Licensed Materials to build, distribute, or operate malware or any product or service that is deceptive, harmful, or designed to defraud users.

7. Third-Party Materials

The Licensed Materials may incorporate, depend on, or be used with Third-Party Materials. You are solely responsible for identifying, installing, and complying with the licenses of Third-Party Materials, including any attribution, notice, and source-availability obligations they impose. edbnme makes no representation or warranty about Third-Party Materials and has no liability for them. The current list of known Third-Party Materials and their notices is published on the Attribution page.

8. Ownership, Feedback, and Contributions

edbnme and its licensors retain all right, title, and interest, including all intellectual property rights, in and to the Licensed Materials and all copies of them. Subject to that, and to the rights of third parties, you own the code you independently write and your modifications, but not the underlying Licensed Materials.

If you provide suggestions, bug reports, or other feedback about the Licensed Materials, you grant edbnme a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use and incorporate it for any purpose without obligation to you.

Contributions to edbn/ui repositories are governed by the contribution terms published in those repositories. You must have the right to submit any contribution, and it must not include confidential information, malware, personal data you may not disclose, or material you are not authorized to license.

9. Updates and Support

edbnme may update, modify, deprecate, or remove any Licensed Materials at any time, and is not obliged to provide updates, maintenance, compatibility with any framework or dependency version, bug fixes, security patches, or support. Any updates you obtain are Licensed Materials under the version of this Agreement in effect when you obtain them.

10. Fees

Pro Plans, pricing, billing, renewals, cancellations, refunds, taxes, and account access are governed by the Terms of Use and the terms presented at checkout by edbnme's merchant of record. This Agreement does not grant or promise any price, and no fees paid are refundable under this Agreement except as required by law or the Terms of Use.

11. Compliance Verification

On edbnme's reasonable written request, not more than once in any twelve-month period unless edbnme has reasonable grounds to suspect non-compliance, you will provide within 30 days a written statement, signed by an authorized representative, confirming your compliance with this Agreement and identifying the Applications in which you use the Licensed Materials for Commercial Use. If you are found to be using the Licensed Materials for Commercial Use without an Active Pro Plan, you must promptly purchase one covering the period of that use, without prejudice to edbnme's other rights and remedies.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED MATERIALS ARE PROVIDED "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. EDBNME, ON ITS OWN BEHALF AND ON BEHALF OF ITS LICENSORS, EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, ACCESSIBILITY, COMPATIBILITY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

EDBNME DOES NOT WARRANT THAT THE LICENSED MATERIALS WILL MEET YOUR REQUIREMENTS, WORK WITH ANY OTHER SOFTWARE OR VERSION, BE ERROR-FREE, SECURE, OR FREE OF HARMFUL CODE, OR THAT DEFECTS WILL BE CORRECTED. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, TESTING, SECURING, AND VALIDATING THE LICENSED MATERIALS AND ANY APPLICATION IN WHICH YOU USE THEM, INCLUDING FOR ACCESSIBILITY, PRIVACY, SECURITY, AND LEGAL COMPLIANCE, AND FOR ANY DOCUMENT OR OUTPUT GENERATED WITH THEM. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL EDBNME OR ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, ANTICIPATED SAVINGS, DATA, GOODWILL, OR REPUTATION, OR FOR BUSINESS INTERRUPTION OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENSED MATERIALS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EDBNME AND THE PERSONS LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENSED MATERIALS WILL NOT EXCEED THE GREATER OF (A) USD 100 AND (B) THE AMOUNTS YOU PAID FOR THE PRO PLAN DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law, including mandatory consumer protection law.

14. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless edbnme and its affiliates, owners, officers, employees, contractors, agents, suppliers, and licensors from and against all claims, demands, actions, damages, losses, liabilities, judgments, settlements, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to: (a) your breach of this Agreement; (b) your use, modification, or distribution of the Licensed Materials; (c) any Application, product, service, content, or document that you or your Authorized Users or clients create, operate, or distribute; or (d) your violation of any law or third-party right.

edbnme will give you reasonably prompt notice of a claim and reasonable cooperation at your expense, and may participate with counsel of its choosing. You may not settle any claim in a way that admits fault by, imposes an obligation on, or fails to fully release edbnme without edbnme's prior written consent.

15. Term and Termination

This Agreement continues until terminated. The free license terminates automatically, without notice, if you use the Licensed Materials for Commercial Use without an Active Pro Plan, or if you breach Section 6. edbnme may terminate this Agreement, or any license under it, immediately by written notice for a breach that is incapable of cure, and for any other material breach that you do not cure within 30 days after written notice. Any use or distribution of the Licensed Materials outside this Agreement is a breach and may also infringe edbnme's copyright.

Cancellation or expiry of a Pro Plan alone does not terminate rights in copies obtained under Section 4. On termination for any other reason, you must immediately stop using and distributing the affected Licensed Materials and destroy all copies in your possession or control, and, on request, certify that destruction in writing. Sections 1, 2, 6 through 8, and 10 through 19, and any accrued rights and obligations, survive termination.

16. Export Control and Sanctions

You must comply with all applicable export control, import, and sanctions laws and regulations. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and that you are not named on, owned or controlled by a party named on, or acting for a party named on, any applicable sanctions or restricted-party list. You must not export, re-export, or transfer the Licensed Materials in violation of those laws.

17. Governing Law and Disputes

This Agreement and any dispute or claim arising out of or relating to it, including non-contractual disputes or claims, are governed by the laws of the jurisdiction in which edbnme is established, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to mandatory consumer protection law, the courts of that jurisdiction have exclusive jurisdiction over any such dispute, and you submit to their personal jurisdiction.

A breach of this Agreement may cause edbnme irreparable harm for which damages would not be an adequate remedy. edbnme may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information, without posting bond, in addition to any other remedy.

To the extent permitted by applicable law, any claim arising out of or relating to this Agreement must be brought individually and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and must be commenced within one year after the claim arose, or it is permanently barred.

18. Changes to this Agreement

edbnme may revise this Agreement by publishing a new version with a new effective date. A revised version applies to Licensed Materials you obtain after it is published. It does not retroactively reduce rights in copies lawfully obtained under an earlier version, except that a material breach may terminate those rights as Section 15 provides.

19. General Provisions

Entire agreement and precedence. This Agreement is the entire agreement between you and edbnme about the Licensed Materials and supersedes all prior or contemporaneous understandings about them. The Terms of Use govern the edbn/ui service, accounts, Pro Plans, and payments; the Privacy Policy describes how personal data is handled; third-party licenses govern Third-Party Materials; and a written agreement signed by edbnme controls over this Agreement for the material it expressly covers.

Severability and waiver. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and limited to the minimum extent necessary, and the remaining provisions remain in full force. No failure or delay in enforcing a provision is a waiver of it.

Assignment. You may not assign or transfer this Agreement or any rights under it, by operation of law or otherwise, without edbnme's prior written consent; any attempt to do so is void. edbnme may assign this Agreement without consent, including in connection with a merger, acquisition, reorganization, or sale of assets.

Relationship. The parties are independent contractors. This Agreement creates no agency, partnership, joint venture, employment, or fiduciary relationship, and no third-party beneficiary rights.

Notices and language. edbnme may give notices to the email address associated with your account or by publishing them on the edbn/ui website. Notices to edbnme must be sent to legal@edbn.me. This Agreement is written in English; any translation is for convenience only, and the English version controls. Headings are for convenience and do not affect interpretation, and "including" means "including without limitation".
